By accessing and using the application and registering to participate in the Inner Circle Program by Vida Vacations (the “Referral Program”), operated by VENTAS RIVIERA MAYA, S.A. DE C.V. (“Vida Vacations®”, “we”, “our” or “us”), you (“you”, the “Member”) agree to comply with and be bound by these Terms and Conditions, which incorporates the provisions set forth in our Comprehensive Privacy Notice available at https://www.vidavacations.com/avisos/integral-privacy-notice.pdf, as well as in any other policies that are included on the official website www.vidavacations/innercircle (the “Official Website”), which together are legally binding.
When reference is made to the Terms and Conditions of the Referral Program, the Privacy Notice, the Terms and Conditions of use of the Inner Circle by Vida Vacatios App, as well as any other policy, document or information that is included or added after the Official Website, it is understood that they are part of a single document referring to the Referral Program, therefore, if you do not agree with any of the aforementioned documents or other of our policies, you should not subscribe to and/or participate in the Referral Program, before clarifying all your doubts.
This is the program created by Vida Vacations for its Members, which allows those Members who sign up for it to refer family and friends so that they, in turn, can enjoy special promotions to stay in the Vidanta destination of their choice. By recommending other people, Member may be entitled to the benefits set for in the Referral Program, in accordance with these Terms and Conditions, which will be reflected in their respective accounts of the application.
The Referral Program does not constitute and may not be construed as an offer to sell or a solicitation of an offer to buy timeshare, lodging rights or any other similar, does not modify or form part of any loading rights and services agreement, and the Member acknowledges that, given that have an lodging right and services agreement in force, neither these terms and conditions, nor the Referral Program, nor its Benefits, nor the promotion sent to their Referrals form part of, modify or add to said agreement.
Current Vida Vacations Members who have their “Customer_ID” (term defined below), are of legal age, of foreign nationality (other than Mexican nationality) and residents outside the Mexican Republic are eligible to participate in the Referral Program, the Referral Program only applies to Designated Members, minors may not participate in the Referral Program. Remember that your references must be at least 18 (eighteen) years old, reside outside the Mexican Republic and be of foreign nationality (other than Mexican nationality) and, may not be current or former members of any resort marketed by Vida Vacations to participate as a reference for the program (the “Referral/Referrals”).
The Inner Circle by Vida Vacations App (the “App”) is the software program, owned by us, which is available through the official application stores (Google Play Store and/or App Store), which can be downloaded by the Member, if desired, and installed on his/her mobile device, through which he/she can register to participate in the Referral Program and carry out activities that derive from and/or relate to the Referral Program.
However, as there are no restrictions on downloading the application, the Referral Program and their benefits structure only applies to verified Vida Vacations Members, who must at all times use their Customer_ID at the beginning of the Referral Program registration process, and/or whenever the application requires it to identify yourself as the owner of your account related to the Referral Program. The App facilitates communication through third-party platforms (e.g., WhatsApp, SMS, Telegram) and allows you to send promotions to your Referrals and assign Referral Program benefits.
It is the individual identification number related to the Member and their lodging rights and services agreement, with which they can apply to enroll in the Referral Program.
Enrollment in the Referral Program through the app and your Customer ID will reflect your activity and benefits accrued in your account.
To ensure proper tracking and allocation of benefits, you must provide your unique Customer_ID and email address at the outset, i.e., during the Referral Program enrollment process. This identifier will serve as a master key to associate you with your Referrals.
Your Cutomer ID is your password to access the application and registration to the Referral Program, so we remind you that this is personal and non-transferable, you should not share it with a third party for any reason since you are solely responsible for your personal data.
To refer family and/or friends, the Member must follow the procedure described below through the App:
a. Access to the App: The Member shall access the App using their registered account associated with their Customer_ID.
b. Selection of Referral Group: Within the App, the Member must select the group to which they wish to send the promotion, choosing between Family or Friends.
c. Selection of Contacts: Once the group is selected, the Member shall choose the specific contacts to whom the promotion will be sent.
d. Selection of Communication Channel: The Member must select the preferred communication channel through which the promotion will be delivered, (e.g., WhatsApp, SMS, Telegram).
e. Delivery of the Promotion: After confirming the selected contacts and communication channel, the promotion will be automatically delivered through the chosen medium.
f. Referral Receipt of Promotion: The Referral will receive the promotion via the selected channel and will be directed to an Official Website where they may:
Review the details and terms and conditions of the promotion; and
Request to be contacted by Vida Vacations if interested in confirming participation.
g. Registration and Tracking: The App will automatically record the Referral activity under the Member’s account for proper tracking and subsequent validation of Benefits, in accordance with these Terms and Conditions.
Vida Vacations Members may accrue benefits in accordance with the Benefit Structure by referring to family and/or friends in accordance with the following:
a. Reservation Benefit.
For each Referral the Member refers, they may receive a Reservation Benefit in their App account for the equivalent of USD $500.00 (five hundred dollars $00/100$ legal currency in the United States of America). The Reservation Benefit will be reflected in the Member App account once the Referee has Check-in at the corresponding Vidanta Resort, in accordance with the reservation made by the Referee through the promotion that the Member has sent through the App. Vida Vacations has the right to change the amount of the Reservation Benefit, the manner or timing of the Reservation Benefit at any time, in its sole discretion and without notice.
The Reservation Benefit acquired by the Member will be valid for 12 (twelve) months from the date on which the Reservation Benefit is reflected in the Member App account.
b. Purchase Benefit.
If the Referral completes a purchase of a Lodging Rights and Services Agreement marketed by Vida Vacations, the Member will receive a Purchase Benefit in their App account for the equivalent of USD $1,500.00 (one thousand five hundred dollars 00/100 egal currency in the United States of America), regardless of the product purchased by the Referral. Vida Vacations has the right to change the amount of the Purchase Benefit, the manner or timing of the Purchase Benefit at any time, in its sole discretion and with or without notice.
The Purchase Benefit acquired by the Member will be valid for 3 (three) months from the date on which the Purchase Benefit is reflected in the Member App account if the Member does not have a future reservation. If the Member has a reservation at any Vidanta Resort when he/she receives the Purchase Benefit, the accumulated balance cannot be applied to that reservation, so the validity of the Purchase Benefit will be for 6 (six) months from the date on which the Purchase Benefit is reflected in the Member App account. Therefore, the Member may only redeem their benefit from an additional reservation or on a subsequent reservation.
The Member understands and agrees that to redeem his/her Reservation Benefits or Purchase Benefit at any time, they must comply with the following:
a. The Reservation Benefit accumulated by the Member in his/her App account may be used to pay the “Usage Fee” arising from their Lodging Right and Services Agreement in respect of any accommodation reservation made at any Vidanta Resort after receiving the Reservation Benefit.
b. They may not stay in the same room or unit as their Referral or may not even use the same accommodation reservation as their Referrals when they make the reservation through the promotion they received under the Referral Program.
Member understands that, other than the dissemination of promotions through the Application, Member will not advertise or promote or offer the Referral Program promotions for commercial uses or for the sale or exchange of services or benefits in any way. Any violation, as determined by Vida Vacations in its sole discretion, will allow Vida Vacations to terminate the Member’s enrollment in the Referral Program and avoid any Benefits purchased by the Member.
The Program is not available to persons residing in the state of lowa, U.S.A., and Member agrees not to send and/or promote the Referral Program and/or its promotions to residents of the state of lowa, U.S.A. and/or those states or countries in which referral programs and/or any of the services related to the Referral Program are prohibited or limited referred to in these Terms and Conditions.
You agree not to:
a. Violate any local laws or privacy regulations regarding data sharing.
b. Provide false or misleading information regarding Referrals or Benefits.
c. Engage in any misuse and/or action that could result in the temporary or permanent suspension of use of the Referral Program and/or the App.
Violation of these rules may result in loss of referral privileges and Benefits. Vida Vacations reserves the right to carry out the actions it deems appropriate to suspend the Member, either temporarily or permanently, access to and/or use of their account in the App, as well as their participation in the Referral Program, derived from any indication of fraud or conduct involved and/or related to actions tending to cause fraud or bad practices on their part related to the Referral Program, or its Benefits, or the use of the App or if applicable for breaching these Terms and Conditions.
The temporary suspension will result in disabling the use of the App and/or redemption of Referral Program Benefits for the period of time determined by Vida Vacations; if applicable, the definitive suspension will result in the cancellation of the Member’s App account, as well as the cancellation of the Referral Program Benefits obtained up to that date and that were still pending redemption.
The Referral may book a one-time reservation for nights of lodging at any Vidanta destination and purchase related experiences and related services, at a promotional rate, additional and special terms, and conditions such as Vida Vacations may determine at its sole discretion. The availability, type, and pricing of lodging nights, experiences and related services offered to Referrals are subject to availability and/or change at any time without notice, and may vary depending on market conditions, promotional strategies, or internal policies.
Lodging nights reservations may be made by people who have been selected by the Member as their Referrals and to whom the promotion has been sent directly through the App, and may be made at any time of the year except for dates in which Mexican holidays or special events occur, or the weeks corresponding to Christmas, New Year, Easter, Holy and President’s Week, where the increase in tourism influences the occupancy and availability.
Accommodation does not include ground or air transportation or transportation of any kind, food and/or beverages, spa treatments, souvenirs, photographs, or any other product or service other than accommodation, any other product or service may be contracted or purchased separately.
All reservations are final and non-refundable but may be changed once the request is made at least 90 (ninety) days prior to check-in date.
Referral Program Benefits are not transferable, cumulative with other promotions, discounts or certificates, or redeemable for cash, either in whole or in part, are for the Member’s personal use and may not be used for or through third-party trade-in programs or rental agencies. The Benefits of the Referral Program may be used by the Member only during the period of validity established in these Terms and Conditions.
It is not permitted to use the Referral Program Benefits for payment and/or to generate accommodation reservations on behalf of third parties other than the Member, as failure to do so may result in the loss of eligibility to participate in the Referral Program. Benefits are void if the Member does not check into the reservation at the Check-in time at the Vidanta Resort.
The Referral Program applies as set forth herein, and no other oral or written agreements regarding the Referral Program and/or its Benefits will apply, which will be governed by these Terms and Conditions. In case the Member has any questions or clarifications related to the Referral Program and/or its Benefits, you may contact us through our official channels. Vida Vacations will have no responsibility in case of error or request information made through different channels.
The Member will receive updates of the Referral Program and its Benefits notifications only via:
a. The App. b. Outbound calls from our Contact Center or by email from customerservice@vidavacations.com. c. Additional methods (e.g., SMS) may be implemented as needed..Vida Vacations reserves the right to modify these Terms and Conditions or to modify or discontinue the Referral Program at any time, with or without notice. All decisions of Vida Vacations shall be final with respect to the eligibility of Referral Program participants and Referrals such as, the designation and permanence of Benefits, and all other matters relating to the Referral Program. The Member declares that he/she has read, understands and accepts the content of these Terms and Conditions, which will have the same legal effect and legal force as if they had been signed in physical or digital form by the Member. Any total or partial modification will be included in the legal terms section of the App and the website www.vidavacations/innercircle.com, so we suggest that you review this sections periodically in order to know any change and/or adhesion to the current Terms and Conditions, since once the modifications have been made and published, they will constitute acceptance of the current Terms and Conditions.
All activities that the Member performs in connection with the Referral Program (e.g., sending promotions to their Referrals) are performed by the Member their own on free will and in their own name behalf as an independent person and not related to Vida Vacations , its affiliates and/or subsidiaries. Member acknowledges that such activities do not at any time imply subordination to Vida Vacations its affiliates and/or subsidiaries, that it’s not an agent, employee, contractor or representative of Vida Vacations” and/or its affiliates and/or subsidiaries, and/or Vidanta Resorts or any of its affiliates and may not appear or allow itself to be confused by acting in such capacity. The Member acknowledges that both the download of the App and his/her registration for the Referral Program took place in Mexico and that all materials sent to his/her Referrals are sent from Mexico. The Referral Program does not create any joint venture, partnership, or other joint venture, and the Member has no authority to act on behalf of Vida Vacations”, its affiliates, and/or subsidiaries or to bind them in any way.
The Member acknowledges that his/her enrollment or participation in the Referral Program and the use of material related to the promotion(s) to send it to his/her Referrals, or even the use of the App, grants him/her any license to use logos, trademarks or other intellectual property of Vida Vacations, its affiliates and/or subsidiaries, and/or Vidanta Resorts.
Vida Vacations or any of its affiliates or subsidiaries include Vidanta Resorts, shall be liable in no way for the acts or omissions of the Member.
Vida Vacations and the Member agree that all disputes by or between any of them and/or any affiliated entities relating in any way to this Referral Program, or the Benefits provided hereunder, or the functionality of the App, shall be resolved exclusively in accordance with the dispute resolution provisions of this paragraph. Vida Vacations and the Member shall first attempt to resolve their dispute through the Office of the Federal Prosecutor for the Consumer (PROFECO) and, if the dispute remains unresolved, the parties shall resolve it through binding arbitration under the rules of the Arbitration Center of Mexico (CAM [by its acronym in Spanish]). The arbitration shall take place before a single arbitrator in Guadalajara, Jalisco, Mexico. The language of the arbitration proceedings shall be Spanish, and the governing law shall be the laws of Mexico. Vida Vacations and the Member further agree that the courts of the city of Guadalajara, Jalisco, Mexico shall have exclusive jurisdiction regarding any action to confirm or invalidate the arbitration award. Vida Vacations and the Member, waive any rights to pursue dispute resolution in any other forum or jurisdiction.
